These Terms and Conditions govern your use of the Kresda website at kresda.com and your engagement with services provided by Kresda, operated by Kristoffer Tengesdal (enkeltpersonforetak (sole proprietorship), org. nr. 929 595 440). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

01 About Kresda

Kresda is a marketing services agency specialising in AI-powered lead generation, outbound marketing systems, and reputation management for service-based businesses. Kresda is operated as a sole proprietorship by Kristoffer Tengesdal, registered in Norway under organisation number 929 595 440, with a business address at Myklabergbakken 38, 4052 Sola, Norway.

Kresda provides services primarily to business clients in the United States and internationally. All services are delivered remotely and online.

You must be 18 years of age or older to use this SMS service.

02 Acceptance of Terms

By visiting kresda.com, submitting your contact information, booking a strategy call, or engaging Kresda for any service, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy, which is incorporated into these Terms by reference.

These Terms constitute a legally binding agreement between you and Kristoffer Tengesdal trading as Kresda. If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business to these Terms.

We reserve the right to update or modify these Terms at any time. The most current version will always be available at kresda.com/terms-and-conditions. Material changes will be communicated to active clients by email at least 14 days before taking effect. Your continued use of our website or services following any changes constitutes your acceptance of the updated Terms.

03 Services

Description of Services

Kresda provides marketing and business growth services to service-based businesses, which may include any or all of the following:

AI-powered lead generation systems designed to identify and deliver qualified prospective customers to your business
Outbound marketing and outreach systems including email, SMS, and voice-based prospecting campaigns
Reputation management services designed to increase the volume and quality of online reviews for your business
Marketing strategy consulting, including strategy calls, audits, and recommendations
Any additional services as agreed upon in writing between the parties

Service Delivery

All services are delivered remotely. The specific scope, deliverables, timeline, and pricing for any engagement will be agreed upon in writing prior to commencement. Written agreement may include email confirmation, a signed proposal, or a service agreement document.

Service Availability

We reserve the right to modify, suspend, or discontinue any service or feature at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of services provided we give reasonable prior notice.

04 Communications Consent

How Consent Is Obtained

Kresda obtains your consent to send communications at the specific point at which you provide your contact information through an affirmative action. This includes submitting a form on our website, booking a strategy call, or expressly agreeing to receive communications during a consultation or call. Consent is never assumed from general use of our website.

At each point of consent collection, we clearly disclose the types of communications you are agreeing to receive, identify Kresda as the sender, and provide a link to our Privacy Policy. You will not receive SMS messages, marketing emails, or outbound calls from Kresda unless you have taken a specific affirmative action to provide consent.

The opt-in disclosure presented at the point of phone number collection reads: "By providing your phone number, you consent to receive SMS messages from Kresda. Message and data rates may apply. Reply STOP to opt out." This disclosure is presented on all forms that collect mobile phone numbers.

SMS and Text Message Communications

By providing your mobile phone number through a form, booking process, or other affirmative opt-in on our website or during a consultation, and by expressly consenting to receive text messages, you agree to receive SMS communications from Kresda. These may include:

Appointment confirmations and reminders
Follow-up messages related to your inquiry or consultation
Service updates and information relevant to your engagement with Kresda
Marketing and promotional messages about Kresda services, where you have specifically consented to receive marketing communications

Message frequency varies based on your interaction with us but will not exceed 10 messages per month unless you have an active service engagement, in which case frequency may increase in line with service delivery needs. Message and data rates may apply depending on your mobile carrier plan and service agreement.

To opt out of SMS communications at any time, reply STOP to any message received from us. You will receive one final confirmation message after opting out. To opt back in, reply START. For assistance, reply HELP or contact us at [email protected]. Opting out of SMS will not affect any other communication channels unless you separately request removal.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. SMS consent and phone numbers collected for SMS purposes will not be shared with any third party. All of the above categories of SMS messages exclude text messaging originator opt-in data and consent, which will not be shared with any third parties.

Email Communications

By providing your email address and expressly consenting to receive email communications, you agree to receive emails from Kresda related to your inquiry, booked appointments, service delivery, and where you have separately consented, marketing communications. You may unsubscribe from marketing emails at any time using the unsubscribe link in any marketing email or by contacting us at [email protected]. Transactional emails related to active service delivery cannot be opted out of while services are ongoing.

Voice and Telephone Communications

By providing your phone number and engaging with us through a booking or inquiry process, you consent to receive outbound telephone calls from Kresda for the purposes of conducting strategy calls, following up on inquiries, and discussing our services. You may request removal from our calling list at any time by informing us during a call or by contacting us directly.

Carrier Disclaimer

SMS and voice communications are delivered through third-party telecommunications carriers and communication platforms. Carriers are not liable for delayed or undelivered messages. Message delivery is subject to carrier terms of service and network availability.

05 Pricing and Payment

Pricing

The pricing for Kresda services will be agreed upon in writing prior to the commencement of any paid engagement. Prices are quoted in United States Dollars (USD) unless otherwise specified in writing.

Payment Terms

Payment terms will be specified in the service agreement or proposal for each engagement. Unless otherwise agreed in writing, invoices are due within 14 days of the invoice date. Kresda reserves the right to suspend services for accounts with overdue payments.

No Obligation from Strategy Calls

Initial strategy calls are provided at no cost and carry no obligation to purchase services. A strategy call does not constitute a service agreement. Services commence only upon written agreement and, where applicable, receipt of payment.

Refunds

Due to the nature of digital marketing services, Kresda does not offer refunds for services already delivered or in progress. Where a service cannot be delivered as agreed due to circumstances within Kresda's control, we will work in good faith to remedy the situation or provide a proportional credit toward future services. Refund requests will be considered on a case-by-case basis. Factors considered include the stage of service delivery, the nature of the issue, and whether the client has fulfilled their obligations under Section 06.

06 Client Obligations

To enable Kresda to deliver services effectively, you agree to:

Provide accurate, complete, and up-to-date information about your business when requested
Respond to communications from Kresda in a reasonably timely manner
Ensure that any materials, assets, or information you provide to Kresda do not infringe the intellectual property rights or other rights of any third party
Use leads, contacts, and data provided by Kresda in compliance with all applicable laws and regulations, including data protection and anti-spam laws
Not use Kresda's services for any unlawful, deceptive, or fraudulent purpose
Notify Kresda promptly of any changes to your business that may affect service delivery

07 Intellectual Property

Kresda's Intellectual Property

All content on the kresda.com website, including but not limited to text, graphics, logos, images, and software, is the property of Kristoffer Tengesdal trading as Kresda and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our prior written consent.

Client Materials

You retain ownership of all materials, data, and content that you provide to Kresda in connection with the delivery of services. By providing such materials, you grant Kresda a non-exclusive, royalty-free licence to use, reproduce, and process those materials solely for the purpose of delivering the agreed services.

Work Product and Deliverables

Upon receipt of full payment for a completed service engagement, Kresda assigns to you ownership of the specific client-facing deliverables created for your business, including campaign copy, review request templates, and any other written or creative materials produced specifically for your use.

Kresda retains ownership of all underlying systems, methodologies, frameworks, processes, software, and operational infrastructure used in delivering services. This includes lead generation system architecture, automation workflows, outreach frameworks, and any proprietary technology or processes developed by Kresda. This retention of ownership by Kresda applies to all underlying systems and methodology only and does not affect the client's full ownership of the specific deliverables assigned to them upon full payment.

08 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared in the course of the service relationship. This includes business strategies, pricing, client data, and operational methods. This obligation of confidentiality survives the termination of any service agreement.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or regulatory authority.

09 Results and Disclaimers

No Guarantee of Results

Kresda provides marketing and lead generation services with the goal of increasing the volume and quality of leads for your business. However, we make no guarantee of specific results, including any guaranteed number of leads, sales, revenue, or business growth. Marketing outcomes depend on numerous factors outside Kresda's control, including market conditions, your business's response to leads, competition, and economic factors.

Website Disclaimer

The information on kresda.com is provided for general informational purposes only. While we strive to keep information accurate and current, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, or suitability of the information on the website.

Third-Party Services

Kresda may use or recommend third-party tools, platforms, or services in the course of delivering services. We are not responsible for the performance, availability, or terms of any third-party services. Your use of third-party services is subject to their respective terms and conditions.

10 Limitation of Liability

To the maximum extent permitted by applicable law, Kresda, Kristoffer Tengesdal, and any associated contractors or representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of revenue, loss of profits, loss of data, or loss of business opportunity.

Our total liability to you for any claim arising out of or in connection with these Terms or our services shall not exceed the total amount paid by you to Kresda in the three months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

11 Indemnification

You agree to indemnify, defend, and hold harmless Kresda, Kristoffer Tengesdal, and any associated contractors or representatives from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, your violation of any applicable law or regulation, or your infringement of any third-party rights.

12 Term and Termination

Term

These Terms remain in effect for as long as you use our website or engage our services. Individual service engagements will have their own start and end dates as specified in the relevant service agreement.

Termination by Either Party

Either party may terminate a service engagement by providing written notice as specified in the relevant service agreement. Unless otherwise agreed, either party may terminate with 30 days written notice. Early termination does not entitle you to a refund for services already delivered.

Termination for Breach

Either party may terminate this agreement immediately upon written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of receiving written notice of the breach. Examples of material breach include failure to make payment when due, violation of the client obligations in Section 06, or failure to deliver agreed services without justification.

Effect of Termination

Upon termination, your right to use any Kresda-provided systems, tools, or access will cease. Provisions of these Terms that by their nature should survive termination, including confidentiality, intellectual property, limitation of liability, and indemnification, will continue to apply.

13 Governing Law and Disputes

Governing Law

These Terms are governed by and construed in accordance with the laws of Norway. As a Norwegian sole proprietorship, Kresda operates under Norwegian law. However, where services are provided to clients in the United States, Kresda will comply with applicable US federal and state laws relevant to marketing communications, data protection, and consumer protection to the extent they apply to the services provided.

Dispute Resolution

In the event of a dispute arising from or in connection with these Terms or our services, both parties agree to first attempt to resolve the matter through good faith negotiation. If resolution cannot be reached within 30 days, disputes may be referred to mediation before any formal legal proceedings are initiated.

Jurisdiction

For clients based in the United States, you acknowledge that Kresda is a Norwegian business and that any formal legal proceedings would be subject to Norwegian jurisdiction unless otherwise required by applicable mandatory consumer protection laws in your jurisdiction.

14 Privacy

Your use of our website and services is also governed by our Privacy Policy, available at kresda.com/privacy-policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to our Privacy Policy. Our Privacy Policy explains how we collect, use, and protect your personal information, including information collected for the purpose of communications and marketing services.

15 Website Use

Permitted Use

You may use kresda.com for lawful purposes only. You agree not to use the website in any way that violates applicable laws, infringes the rights of others, or could damage or impair the website or its availability to other users.

Prohibited Activities

You agree not to:

Attempt to gain unauthorised access to any part of the website or its underlying systems
Use automated tools to scrape, copy, or extract content from the website without our permission
Transmit any viruses, malware, or other harmful code through the website

Website Availability

16 General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any written service agreement between the parties, constitute the entire agreement between you and Kresda with respect to the subject matter herein and supersede all prior agreements, representations, and understandings.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. Kresda may assign these Terms in connection with a merger, acquisition, or sale of assets.
